OPUS-ISM, LLC was a leading provider of retail pharmacy management systems and pharmacy workflow technology. It was formed from the merger of the OPUS-Core Corporation and Interactive Systems & Management Corp. (ISM). At the time of the merger, the companies were the two leading providers of retail pharmacy management systems in the NY Tri-State area, serving over 1,000 locations combined.
The OPUS-ISM merger had been conceived from the start to create a platform that would be valuable to a strategic buyer or financial investor desiring to consolidate a leading position serving independent pharmacies in the NY Tri-State area. There was no other provider of retail pharmacy systems serving this market of a comparable size.
As result of a long-time advisory relationship with the ownership group of Opus-ISM including the consummation of two successful transactions (the merger of Opus-Core and the sale of Opus-Health), Carter Morse & Mathias was engaged to market the pharmacy management systems business to potential strategic and financial buyers. The assets of Opus-IMS were acquired by the Robertson Piper Software Group, a California-based private equity group funded by CapitalSource. Carter Morse & Mathias was Opus-ISM's exclusive financial advisor in arranging, structuring and negotiating the transaction.
